On December 27, TCL Central announced that the company and its holding subsidiary Inner Mongolia Central Crystal Materials Co., LTD. (hereinafter referred to as "Central Crystal") shareholders had friendly consultations. Intends to sign the Equity Transfer Agreement with BOCOM Financial Asset Investment Co., LTD. (hereinafter referred to as "BOCOM Investment") and CCB Financial Asset Investment Co., LTD. (hereinafter referred to as "CCB Investment") respectively to acquire the 13.69% equity interest of BOCOM Investment and the 10.95% equity interest of CCB Investment in Central Crystal, The equity transfer price is 1 billion yuan and 800 million yuan respectively.

     After the completion of this transaction, the Company will directly and indirectly hold 83.96% of the equity of Zhonghuan Crystal, and the scope of the merger will not change. The Company will use its own funds or self-raised funds to implement this transaction.

     Inner Mongolia Zhonghuan Crystal Materials Co., LTD. (hereinafter referred to as "Zhonghuan Crystal") was established on November 2, 2017, with a registered capital of 6.3030403 million yuan. It is an enterprise mainly engaged in the manufacturing and sales of solar silicon rods and related products, as well as technical research and development and technical services.

     As of December 31, 2023, the total assets of the Company were 2,435,2119,100 yuan, and the net assets were 1,494,083,300 yuan; In 2023, the operating income was 2,791,63601 million yuan, and the net profit was 219,1,0658 million yuan (the above data is audited); As of September 30, 2024, the total assets were 2,683,49,451 million yuan, and the net assets were 1,323,207,800 million yuan; From January to September 2024, the operating income was 9,858,126,500 yuan, and the net profit was -1,582,212,300 yuan (the above data is unaudited).
